This document is an electronic record in compliance with the Information Technology Act, 2000 and related rules. It does not require physical or digital signatures as it is generated by a computer system.

By accessing or using the CYIENT brand store (CYIENT – Brand Store (eyantra.com)), you agree to abide by the terms of this User Agreement, which governs your interaction with the store, its services, and the products offered therein.

User Agreement

This agreement applies to all users who visit, register, or transact on CYIENT brand store. By accessing, browsing, or using the site, you agree to be bound by the terms and conditions of this agreement.

CYIENT reserves the right to modify these terms and conditions at any time. Changes will be posted on the website, and continued use of the site implies acceptance of the updated terms.

Eligibility

Only individuals capable of forming legally binding contracts as per the Indian Contract Act, 1872 are permitted to use this website. Minors and others who are legally incompetent to contract are prohibited from accessing or using the CYIENT brand store.

If you represent a business entity, you confirm that you have the authority to bind that entity to this User Agreement.

Registration and Communication

By registering on the CYIENT brand store, you authorize us to contact you for any service-related communication through email, chat, or phone. You are responsible for providing accurate information during registration. Misrepresentation of identity or incorrect details may lead to suspension or termination of your account.

Terms of Use

CYIENT provides a platform for users to browse and purchase CYIENT products. You agree not to use the site for any unlawful activity, or for the sale or purchase of prohibited or restricted items under applicable laws.

While membership on CYIENT is free, fees may apply for specific services like shipping, packaging, or warehousing. These charges will be reflected in invoices and are payable in Indian Rupees. In case of non-payment, CYIENT reserves the right to suspend or terminate your account.

User Obligations

You agree not to:

• Misuse the platform or post unlawful, harmful, or offensive content.
• Infringe on the rights of others, including intellectual property rights.
• Distribute software viruses or any code that may harm the website or users.
• Manipulate prices or engage in fraudulent activity.
• Use the website for unauthorized promotions or advertisements.

CYIENT is not liable for any incorrect or misleading information provided by users. We also reserve the right to remove content or terminate access in case of violations.

Limitation of Liability

CYIENT is a platform provider and is not liable for the accuracy, legality, or appropriateness of content or transactions on the site. Users are responsible for their actions and interactions on the platform.

Amendments

CYIENT reserves the right to update or change these terms and conditions at any time, and such changes will be effective upon posting on the website.

Disclaimers

Platform Nature

CYIENT serves solely as a platform where users can connect and interact for transactions. Neither the Website nor the Company acts as a party to or controls any transaction between two users of CYIENT.

Commercial Terms

All commercial and contractual terms are determined and agreed upon exclusively by buyers and sellers, following principal-to-principal contractual obligations. These terms include, but are not limited to, pricing, shipping costs, payment methods, payment terms, delivery dates, periods, and modes, as well as warranties related to items listed for sale. The Company does not have any control over or involvement in the negotiation or acceptance of these terms. Additionally, you acknowledge that a listing may end if another user purchases the item, the user who made the listing decides to terminate it, or the listing expires after a specified period.

Company’s Liability

The Company is not involved in the actual buying and selling of items on the Website and is not liable for any non-performance or breach of any contract entered into between users (i.e., buyers and sellers). This includes, but is not limited to, non-delivery, non-receipt, non-payment, damage, breach of representations and warranties provided by the seller, or any fraud concerning items listed on CYIENT. Users understand and agree that the Company will not be responsible for any damages, interests, or claims resulting from delays or issues beyond the Company’s control in processing a transaction or transaction price. The Company is not required to mediate or resolve any disputes or disagreements between users.

Representation and Warranty Disclaimers

The Company does not make any representations or warranties regarding the attributes (such as quality, worth, marketability, merchantability, or usefulness) of items proposed to be sold or purchased on CYIENT. Specifically, the Company does not implicitly or explicitly endorse the sale or purchase of any items on the Website. The Company will not be liable for any errors or omissions, whether made by the Company or third parties.

User Verification

The Company does not make any representations or warranties regarding the attributes (such as legal title, creditworthiness, identity, etc.) of its users. You are advised to use your best judgment and independently verify the credibility of any user you choose to engage with on CYIENT.

Service Limitation

CYIENT acts only as a venue for users to access a broader base for buying and selling unique products. The Company provides a platform in the form of the Website for communication and information hosting. The contract for the sale of any items is a strictly bipartite agreement between the seller and the buyer. The Company does not hold any rights, title, or interest over the items, nor does it have any obligations or liabilities concerning such contracts. The Company is not responsible for unsatisfactory or delayed performance by sellers or for damages or delays due to items being out of stock, backordered, or otherwise unavailable. All items offered by sellers are available only for a limited time and only as long as the supply lasts.

Disclaimer of Warranties

CYIENT and its suppliers, affiliates, and service providers offer the Website and services, including the CYIENT Logistics and authorized payment gateway, on an "as is" basis. The Company disclaims all implied warranties, including those of title, merchantability, fitness for a particular purpose, and non-infringement. The Company specifically disclaims any such warranties. You agree that your use of CYIENT and the authorized payment gateway is at your own risk.

Limited Liability

In no event shall the Company or its suppliers, affiliates, and service providers be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, arising in any manner whatsoever, including but not limited to negligence, in connection with CYIENT, the authorized payment gateway facility, services provided by the logistics partner, or any other services or this User Agreement.

Company Liability Limit

The Company’s liability in any circumstance is limited to the amount of charges or fees, if any, paid by you to the Company. The Company, its associates, affiliates, and service providers make no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of any content, information, software, text, graphics, links, or communications provided on or through CYIENT or that the operation of CYIENT, the logistics partner, or the authorized payment gateway facility will be error-free or uninterrupted. The Company provides no guarantees regarding the products sold on the Website and assumes no liability for any monetary or other damage suffered by you due to:

• Delay, failure, interruption, or corruption of any data or other information transmitted in connection with the use of the Website or the authorized payment gateway facility.
• Any delay, failure, interruption, or errors in the operation of CYIENT, the logistics partner, or the authorized payment gateway facility.

Indemnity

You agree to indemnify and hold harmless the Company and the Company's parent, subsidiaries, affiliates, third parties, and their respective officers, directors, agents, and employees from any claims, demands, or actions, including reasonable attorneys' fees, made by any third party or penalties imposed due to or arising out of your breach of the User Agreement, including the rules and policies incorporated by reference, or your violation of any laws, rules, regulations, or rights of any third party.

Payment Terms

Payments for items on CYIENT, at the option of the relevant seller, can be made through (i) Payment on Billing using the authorized payment gateway facility or by depositing cash, cheque, or demand draft into the Company’s bank account, or (ii) Payment on Delivery, where payment shall be made only by cash on delivery, or such other method of payment as may be permitted by the Company at its sole discretion.

Payment Methods

For the purposes of buying and/or selling any item listed on CYIENT, you agree and undertake not to make payments in any manner other than those provided, without the prior consent of the Company.

Payment Facilitation

You acknowledge and accept that you have specifically authorized the Company to collect, process, facilitate, and remit payments and/or the transaction price through any of the prescribed payment methods, either through Payment on Billing or Payment on Delivery, to and from other users in respect of transactions.

Authorized Payment Gateway

To facilitate transactions on CYIENT, the Company will provide an electronic payment facility through the authorized payment gateway by E-billing Solutions Private Limited. This gateway enables automated collection and remittance services using the facilities of various Indian banks, financial institutions, credit/debit/cash card brands, and third-party service providers, authorized by the Reserve Bank of India for collection, refund, and remittance. The authorized payment gateway facility will be used in accordance with the terms of this User Agreement and the rules and policies prescribed.

Processing Delays

The Company will make reasonable efforts to make sure timely communication of requests for electronic debits and credits involving the Issuing Bank to the Nodal Bank. However, various factors outside the Company’s control, including actions by the Issuing Bank, Nodal Bank, or other banking infrastructure, may delay the processing of payments. The Company does not make any representations or warranties regarding the processing times and is not liable for any actual or consequential damages arising from any delay.

Refunds

Any claims for refunds of payments made to the Company are to be directed to the seller’s account. The Company is not responsible for such refunds, including service charges or any other fees/charges. Any refund will be credited back to the customers within 1 - 3 working days.

Trustee and Fiduciary Capacity

You agree and accept that the Company is neither acting as a trustee nor in a fiduciary capacity concerning any transactions or the transaction price by providing the authorized payment gateway facility or any other method of payment to its users.

Consent and Privacy Policy

By using CYIENT and/or providing your information, you consent to the collection and use of such information disclosed by you on CYIENT and through the authorized payment gateway facility by the Company. The personal information/data you provide during transactions on CYIENT or through the authorized payment gateway facility will be treated as strictly confidential and will be retained in accordance with our Privacy Policy, which is incorporated herein by reference, as well as applicable laws and regulations, including but not limited to the Information Technology Act, 2000 and its associated rules. The Company does not sell, rent, or otherwise disclose your personal information to third parties for their marketing purposes without your explicit consent. The Company will use your information only in the manner described in the Privacy Policy. If you do not agree to the transfer or use of your information as described, please do not use CYIENT.

The Company considers the protection of user privacy to be a fundamental principle. The Company recognizes that the personal information you provide is one of its most valuable assets. We store and process the information you provide on computers located in India, which are protected by both physical and reasonable technological security measures and procedures in compliance with the Information Technology Act, 2000 and its rules.

Breach

Without limiting any other remedies available, the Company may, at its sole discretion, take appropriate actions including but not limited to cancelling the transaction or payments, limiting your activities, immediately removing your information or listings, terminating or blocking your membership, warning other users about your actions, or initiating legal action if:

• You breach any provisions of this User Agreement, including any rules, policies, documents, terms, and conditions incorporated by reference.
• There is misuse of the authorized payment gateway facility.
• The Company is unable to verify or authenticate any information provided by you.
• The Company believes your actions may lead to legal liability for the Company, other users, or yourself.

No actions, omissions, or decisions by the Company shall waive any rights or claims it may have against you.

Users who have been suspended or blocked may not register or attempt to register with CYIENT or use CYIENT in any manner until reinstated by the Company. Additionally, if you breach the User Agreement or associated rules and policies, the Company reserves the right to recover any amounts due from you and to pursue strict legal action, including referring the matter to appropriate authorities for criminal or other legal proceedings.

Grievance Redressal Mechanism

If you have any grievances, objections, or complaints regarding the Website, other users, the authorized payment gateway facility, or the Company – including issues related to suspension, termination, or blocking of your membership or access to CYIENT – please promptly raise your concern with the designated Grievance Officer at cyientstore.eyantra.com. Provide all necessary information and/or documents to help the Company/Grievance Officer resolve the issue.

The name and contact details of the Grievance Officer are published on CYIENT as required under the Information Technology Act, 2000 and its rules.

General

None of the provisions of this User Agreement shall be construed to create a partnership or agency relationship between you and the Company. You have no authority to bind the Company in any manner.

Unless explicitly stated otherwise, any notices directed to the Company should be sent via email to cyientstore.eyantra.com, and any notices from the Company to you will be sent to the email address you provided during registration. Notices will be deemed given 24 hours after the email is sent, unless the email address is invalid. Alternatively, notices may be sent by registered mail to the address provided during registration and will be deemed given 3 days after mailing.

If any clause of this User Agreement is found to be invalid, void, or unenforceable, the remaining provisions will still apply, and the invalid provision will be enforced to the maximum extent permitted by law.

This User Agreement, along with the incorporated rules and policies, constitutes the entire agreement between you and the Company regarding its subject matter.

The Company may, at its discretion, assign or transfer its rights and obligations under this User Agreement to another party without your prior consent, provided that the assignment is on the same terms or terms no less favourable to you.

All remedies available to the Company under this User Agreement, whether provided herein or by law, are cumulative and may be enforced successively or concurrently.

Arbitration

In the event of any dispute between you and the Company arising from your use of CYIENT, the authorized payment gateway facility, or any related services, the dispute will be referred to a sole arbitrator who will be an independent and neutral third party appointed by the Company. The decision of the arbitrator will be final. The place of arbitration will be Mumbai, and the proceedings will be governed by the Arbitration & Conciliation Act, 1996 and conducted in English.

Governing Law

This User Agreement and all incorporated rules, policies, and documents shall be governed by and construed in accordance with the laws of India. The courts in Mumbai will have exclusive jurisdiction. This document is an electronic record under the Information Technology Act, 2000 and does not require physical or digital signatures.

Delivery Policy

• Orders will be delivered within 7 – 14 working days from the date of order placement.
• Delivery times may vary based on location and logistics.
• Tracking details will be shared once the order is dispatched.
